A RESOLUTION TO APPROVE MISSOURI BASIN MUNICIPAL POWER AGENCY POWER SALE AGREEMENT (S-1) (AMENDED AND RESTATED EFFECTIVE JANUARY 2, 2027)

Missouri River Energy Services (MRES) provides the City's long-term supplemental wholesale power supply through the S-1 Power Sale Agreement. The agreement has been extended periodically since its inception in 1976 to provide MRES and the Western Minnesota Municipal Power Agency (WMMPA) with the long-term contractual certainty necessary to plan for and finance generation and transmission resources on behalf of participating municipal utilities. MRES is proposing a sixth extension of the S-1 Agreement, adding 10 years to the existing term and extending the City's power-supply commitment through 2067. The extension supports long-term resource planning, continued access to reliable and cost-effective supplemental power, financing of future generation and transmission investments, and the collective benefits and services provided through MRES. Council approval by resolution, execution of the agreement, and an attorney's opinion regarding the City's authority to enter into the agreement are required as part of the approval process.
